RESOLUTION TO ENTER INTO FORMAL
NEGOTIATIONS TO AQUIRE PIONEER WATER LLC

WHEREAS:   A municipal water service is crucial to the economic development of the Town of Leo-Cedarville (the “Town”), and

WHEREAS:   The Town does not currently own a municipal water supply, and

WHEREAS:   The Town’s 1997 and 2014 comprehensive plans and an independent utility study commissioned as a result of the 2014 comprehensive plan support the Town controlling its own water utility, and

WHEREAS:   Pioneer Water serves approximately four hundred customers within the Town boundaries.

NOW THEREFORE BE IT RESOLVED:

1. The Town of Leo-Cedarville shall enter into negotiations to acquire Pioneer Water LLC.
2. Before any contract to purchase Pioneer Water LLC is consummated, the requirements of I.C. 8-1.5-2-1 et. seq. shall be satisfied, including:
a. The passage of an ordinance pursuant to I.C. 8-1.5-2-7, establishing that public convenience and necessity require the establishment of a municipally owned water utility. Such an ordinance shall be passed only after the conduct of a hearing held pursuant to I.C. 8-1.5-2-10, and
b. The passage of an ordinance pursuant to I.C. 8-1.5-2-13 authorizing the contract and providing for the financing of the acquisition through the issuance of bonds.
